End User License Agreement

This End User License Agreement (“Agreement”) is a legal agreement between you (“you” or “User”) and Versutus Accounting (“Versutus Accounting,” “we,” “us,” or “our”) governing your access to and use of the AugmentPMpractice-management platform, including its websites, applications, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by this Agreement. If you do not agree, do not use the Service.

1. License Grant

Subject to your compliance with this Agreement, Versutus Accounting grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service for your internal business or personal account-management purposes. The Service is licensed, not sold, to you.

2. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and any two-factor authentication method, and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account. We may suspend or terminate access that we reasonably believe has been compromised or misused.

3. Acceptable Use

You agree that you will not, and will not permit anyone else to:

  • access data or accounts that do not belong to you or that you are not authorized to access;
  • copy, modify, distribute, sell, lease, or create derivative works of the Service;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except as permitted by law;
  • interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it;
  • use the Service to violate any applicable law or the rights of any third party.

4. Third-Party Services (including QuickBooks Online)

The Service can connect to third-party services at your direction, including Intuit QuickBooks Online. Your use of any connected third-party service is governed by that provider’s own terms and privacy policy, and Versutus Accounting is not responsible for third-party services. When you authorize a connection, you permit the Service to access and exchange data with that provider on your behalf, and you represent that you are authorized to grant that access. You may disconnect a connected service at any time.

5. Customer Data and Ownership

As between you and Versutus Accounting, you retain all rights to the data you or your firm submit to or generate through the Service (“Customer Data”). You grant Versutus Accounting a limited license to host, process, and transmit Customer Data solely to provide and support the Service. All rights, title, and interest in and to the Service itself, including its software, design, and content (excluding Customer Data), remain the exclusive property of Versutus Accounting and its licensors.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Versutus Accounting DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA (INCLUDING FINANCIAL BALANCES OR INVOICES OBTAINED FROM CONNECTED SERVICES) WILL BE ACCURATE OR COMPLETE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Versutus Accounting AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify and hold harmless Versutus Accounting from any claims, damages, liabilities, and expenses arising out of your misuse of the Service or your violation of this Agreement or of applicable law.

9. Term and Termination

This Agreement applies for as long as you use the Service. We may suspend or terminate your access at any time if you violate this Agreement or to protect the Service or its users. Upon termination, your license to use the Service ends. Sections that by their nature should survive termination (including ownership, disclaimers, and limitation of liability) will survive.

10. Governing Law

This Agreement is governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state or federal courts located in New Jersey.

11. Changes to this Agreement

We may update this Agreement from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Service after a change takes effect constitutes acceptance of the updated Agreement.
